All our supplies and services for business with legal entities are exclusively governed by the following General Conditions of Supply and Payment unless otherwise agreed upon in each individual case. Any deviating conditions or confirmations of the Customer will be applicable only if, and to the extent that, we have given our express written consent. In particular, our silence to such deviating conditions of the Customer may not be construed as acknowledgement or consent. Such deviating conditions or confirmations of the Customer are hereby expressly objected to.

The Purchasing Conditions apply in particular to contracts regarding the the purchase and/or the delivery of movable goods, regardless whether such goods are manufactured by the CONTRACTOR or purchased from suppliers.

NO RUSSIA-CLAUSE
The Buyer hereby undertakes, in addition to complying with the applicable provisions of national and international (re-)export control law, including any embargoes and sanctions, in particular not to sell, export or re-import directly or indirectly into the Russian Federation or use in the Russian Federation the Equipment or parts of the Equipment supplied by the Seller which are supplied under or in connection with this Agreement and which fall within the scope of Article 12g of Council Regulation (EU) No 833/2014. In addition, the Buyer warrants that the foregoing purpose will not be circumvented by third parties in the further chain of commerce, including potential resellers. Where necessary, the Buyer shall establish an appropriate monitoring mechanism.
To the extent necessary for the performance of export control inspections by authorities, Buyer shall, upon request, promptly provide Seller with all information regarding any reseller, final consignee, end-use and destination of the Equipment supplied by Seller.
In the event of a breach hereof, the Seller shall be entitled to terminate the contract immediately for good cause. Furthermore, the Buyer undertakes to pay a contractual penalty to be determined by the Seller in accordance with the EU Directive for each case of breach of the above obligations, the appropriateness of which can be reviewed by the competent court in the event of a dispute. In addition, the Buyer shall indemnify the Seller on first written demand against any claims for damages or costs (including any penalties) arising from a breach of this agreement.
